By accessing or using any application or service provided by Onyx Enterprises LLC ("Onyx," "we," "us," or "our"), including Prizm, Axiom, and related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Services.

2. Account Registration

To use certain features of our Services, you must create an account. You agree to:

• Provide accurate and complete information
• Maintain the security of your password
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

3. Acceptable Use

You agree not to:

• Use the Services for any illegal purpose
• Violate any applicable laws or regulations
• Infringe on the rights of others
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Services
• Upload malicious code or content

4. User Content

You retain ownership of all content you create using our Services (boards, cards, tasks, etc.). By using our Services, you grant us a limited license to store, process, and display your content solely to provide the Services to you.

You are responsible for ensuring your content does not violate any laws or infringe on the rights of third parties.

5. AI Features

Some Services offer optional AI-powered features. If you enable these features:

• You provide your own API key from a third-party provider
• You are responsible for all costs associated with your API usage
• You agree to comply with your AI provider's terms of service
• AI-generated suggestions are provided as-is and may not be accurate
• You are responsible for reviewing and using AI outputs appropriately

6. Intellectual Property

The Services, including all software, design, text, graphics, and other content (excluding your user content), are owned by Onyx Enterprises and protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Services without our written permission.

7. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or completely secure. You use the Services at your own risk.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ONYX ENTERPRISES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

Our total liability for any claims arising from or related to these Terms or the Services shall not exceed the greater of: (a) the amount you paid us in the past 12 months, or (b) $100.

9. Indemnification

You agree to indemnify and hold harmless Onyx Enterprises and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Services or violation of these Terms.

10. Termination

We may suspend or terminate your access to the Services at any time for any reason, including violation of these Terms. Upon termination:

• Your right to use the Services immediately ceases
• We may delete your account and all associated data
• Provisions that should survive termination will remain in effect

11. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website or within the app. Your continued use of the Services after changes become effective constitutes acceptance of the modified Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Services shall be resolved in the state or federal courts located in Maricopa County, Arizona.

13. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Onyx Enterprises regarding the Services and supersede all prior agreements and understandings.
